Century Casino Acquires Business Ownership Of Rocky Gap Casino Resort In Maryland
Century Casino announced it has entered into a definitive agreement to acquire Rocky Gap Casino Resort operations from Lake Maryland Development, LLC for approximately $56 million. The company will use cash from its balance sheet to finance the acquisition.
Upon closing the transaction, an affiliate of VICI Properties Inc. will acquire property assets for approximately $240 million, and the company will modify its triple net lease with VICI to add Rocky Gap properties. The lease modification will include approximately $15.5 million in initial annual rent for Rocky Gap casinos.
The purchase price for casino operations is 4.9x 2021 implied earnings before interest, taxes, depreciation and amortization. This multiple deducts annual rent from VICI rent from EBITDA, excluding potential cost synergies and operational improvements. The acquisition is expected to contribute immediately to the company's revenue.
“The addition of Rocky Gap is another important milestone in our pursuit to acquire prime US assets. Rocky Gap is located in Flintstone, Maryland in Rocky Gap State Park, which attracts over half a million visitors annually. On a pro-forma basis after giving effect to the two acquisitions, the Company expects to generate 94% of its Adjusted EBITDA from its North American casinos.
The transaction is expected to close mid-2023, subject to regulatory and governmental approvals and customary closing conditions.
